Welcome! Thank you for your interest in Proxseer Inc. (“Proxseer,” “we,” or “us”), the developer of the Enia Code. These Terms of Service (“Terms”) govern your access to and use of Proxseer’s software, platform, APIs, documentation, and related tools—including the website and all associated software that enables you to build, deploy, host, and manage software projects (collectively, the “Service”). By using the Service, you agree to be bound by these Terms.
Please also review our Privacy Policy, which explains how we collect, use, disclose, and otherwise process your personal information.
If you are accepting these Terms on behalf of an entity, you represent and warrant that you have the legal authority to bind that entity.
1. Access and Use
1.1 Provision of Access
The Enia Code provides a suite of AI - powered coding tools designed to help developers write, review, and understand code more efficiently. Subject to your compliance with these Terms, Proxseer grants you a limited, non - exclusive, non - transferable right to access and use the Service.
1.2 Content
You may submit inputs to the Service (“Inputs”) and receive generated code, outputs, or other responses (“Suggestions”). Together, Inputs and Suggestions are referred to as “Content.” We may use Content solely to deliver the Service, comply with legal obligations, enforce our policies, and maintain the security and integrity of the platform. By submitting Inputs, you represent that you have all necessary rights, licenses, and permissions required for Proxseer to process such Inputs under these Terms.
1.3 Model Training
We do not use the Inputs you provide during normal use of the Service or the resulting Suggestions to train our core AI models, except in the following limited circumstances:
(a) Content that is flagged or reviewed for security or policy violations may be analyzed to improve our safety systems.
(b) Information you explicitly and voluntarily submit as Feedback for the purpose of improving the Service.
(c) You have provided explicit, separate consent for such use (e.g., through an opt-in agreement).
We may aggregate or de-identify your information so it can no longer reasonably be linked to you, using this anonymous data for analysis, research, and service improvement.
1.4 Limitations of Suggestions
Suggestions are generated automatically by machine learning systems and may resemble outputs provided to other users. No ownership or exclusive rights to any Suggestions are granted to you under these Terms. You acknowledge that AI - generated content has inherent limitations, including but not limited to:
- Potential inaccuracies or misleading information;
- Inability to reason creatively or generate truly novel ideas;
- Difficulty interpreting linguistic nuances like idioms, slang, or cultural context;
- Challenges with complex reasoning, judgment, or decision - making tasks;
- Possible bias or quality issues stemming from training data.
You are solely responsible for evaluating the accuracy, reliability, and suitability of any Suggestions and assume all risks associated with their use.
1.5 Use Restrictions
Unless prohibited by law, you agree not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to access the source or object code of the Service;
- Copy, modify, translate, or create derivative works based on the Service;
- Rent, lease, sublicense, or resell access to the Service;
- Remove or alter any proprietary notices;
- Use the Service or its outputs to develop competing AI models or conduct model extraction attacks;
- Probe, scan, or attempt to breach the Service’s security;
- Publish benchmark results without full methodological disclosure;
- Scrape, harvest, or extract data from the Service;
- Use the Service in violation of third - party rights or applicable laws;
- Submit data subject to heightened regulatory protections (e.g., HIPAA, PCI - DSS, GLBA) unless explicitly permitted;
- Allow others to engage in any of the above activities.
You must promptly notify us at contact@eniacode.com of any unauthorized use of your account or the Service.
1.6 Beta Features
Proxseer may offer beta, pilot, early access, or evaluation versions of certain features (“Beta Services”). These are clearly labeled as such and are provided “as - is” and “as available,” without support, warranty, or guarantee of future availability. Beta Services are intended for testing—not production—and may be discontinued at any time. Use them at your own risk; Proxseer assumes no liability for any issues arising from Beta Services.
1.7 Auto - Code Execution
The Service may include an optional feature that executes generated code automatically without manual review. If enabled, you acknowledge and accept full responsibility for all consequences—including system failures, data loss, or security vulnerabilities—and confirm that appropriate safeguards, testing, and monitoring are in place.
2. Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction (whichever is higher) to use the Service. By agreeing to these Terms, you confirm that:
(a) you meet the age requirement; (b) you have not been previously suspended from the Service; (c) your use complies with all applicable local, national, and international laws.
The Services are intended solely for users who are located in the United States. By using the Services, you represent and warrant that you are located in the United States. Any access to or use of the Services from outside the United States is expressly prohibited and is at your own risk.
3. Account Registration
To access most Service features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are solely responsible for maintaining the confidentiality of your password and all activity under your account. Notify us immediately at contact@eniacode.com if you suspect unauthorized access.
4. Ownership & Licenses
4.1 Service Ownership
Proxseer and its licensors retain all rights, title, and interest in the Service and related intellectual property. No implied licenses are granted.
4.2 Feedback
Any suggestions or feedback you provide may be used by Proxseer without restriction or compensation.
4.3 Content Rights
You retain all rights in your Inputs. To the extent Proxseer holds any rights in Suggestions, we hereby assign them to you.
4.4 Usage Data
We may collect and analyze anonymized technical data about how you use the Service (“Usage Data”) to improve performance, security, and functionality. Usage Data excludes your Content and will never identify you personally when shared externally.
5. Third - Party Services
The Service may integrate optional third - party tools (e.g., plugins). These are clearly marked and governed by their own terms. Proxseer does not endorse or assume responsibility for such services.
6. Communications
We may send service - related or promotional emails. You can opt out of marketing messages using the unsubscribe link in any such email.
7. Modifications to Terms
We may update these Terms periodically. Material changes will be noted by updating the “Last Updated” date above. Continued use constitutes acceptance. If you disagree, discontinue use immediately.
8. Termination
You may stop using the Service at any time. Proxseer may suspend or terminate your access for any reason, including violations of these Terms, without notice in urgent cases (e.g., security threats). Paid subscribers may receive a pro rata refund unless termination results from a breach. Inactive free accounts may be deleted after one year with advance notice. Upon termination, we may delete your data. Sections on restrictions, ownership, disclaimers, liability, and dispute resolution survive termination.
9. Service Modifications
Proxseer may modify, limit, or discontinue any part of the Service at any time without notice or liability. Maintain backups of your Content to avoid permanent loss.
10. Copyright Complaints
Report alleged copyright infringement to contact@eniacode.com. Notices must include:
- Your signature;
- Description of the copyrighted work;
- Location of infringing material in the Service;
- Your contact details;
- A good - faith statement of unauthorized use;
- A declaration of accuracy under penalty of perjury.
We will respond per applicable law and may terminate repeat infringers.
11. Privacy
Our Privacy Policy governs the handling of your personal data. Please review it carefully.
12. Indemnification
To the fullest extent permitted by law, you agree to defend and hold harmless Proxseer and its affiliates from all claims, damages, and expenses (including attorneys’ fees) arising from:
(1) your misuse of the Service;
(2) your breach of these Terms or applicable law;
(3) claims that your Inputs infringe third - party rights.
We may assume control of your defense at our expense, and you agree to cooperate.
13. Disclaimer of Warranties
The service and all suggestions are provided “AS IS” and “AS AVAILABLE.” Proxseer disclaims all warranties—express or implied—including merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment. We do not guarantee the service will be error-free, secure, or uninterrupted. Use suggestions at your own risk. Some jurisdictions limit warranty disclaimers, so this may not apply to you.
14. Limitation of Liability
14.1 No Indirect Damages
PROXSEER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR GOODWILL, REGARDLESS OF LEGAL THEORY.
14.2 Liability Cap
OUR TOTAL LIABILITY ARISING FROM THESE TERMS IS LIMITED TO THE GREATER OF:
(A) AMOUNTS YOU PAID US IN THE PAST SIX MONTHS, OR
(B) $100.
THESE LIMITATIONS ARE FUNDAMENTAL TO OUR AGREEMENT.
15. Dispute Resolution
15.1 Arbitration Agreement
Except for small claims court or agency complaints, all disputes will be resolved by binding arbitration under the Federal Arbitration Act. You waive rights to jury trial or class actions. You may opt out within 30 days of account creation or arbitration updates by emailing contact@eniacode.com.
15.2 No Class Actions
Claims must be brought individually. The arbitrator cannot consolidate claims or award relief beyond what’s necessary for your individual claim—except public injunctive relief where required by law.
15.3 Pre - Arbitration Notice
Before arbitration, send a written Notice of Dispute to:

15.4 Arbitration Rules
Arbitration follows AAA Consumer Rules (adr.org), modified by this agreement. Hearings occur in a mutually convenient location. For claims ≤$10,000, you choose document, phone, or in - person format. Proxseer will cover fees if arbitration would otherwise be cost - prohibitive. All proceedings are confidential. If class action waivers are invalidated (except for public injunctive relief), the entire arbitration clause is void.
16. Miscellaneous
16.1 Entire Agreement
These Terms, along with our Privacy Policy, constitute the full agreement between you and Proxseer. They supersede all prior discussions.
16.2 Governing Law
These Terms are governed by California law (excluding conflict - of - law principles). Any non - arbitrated claims must be filed in San Francisco courts.
16.3 Electronic Communications
You consent to receive legally binding notices electronically, as detailed in our Privacy Policy.

16.5 No Support Obligation
Proxseer is not required to provide technical support, though we may offer it at our discretion.

You agree not to use the Service in violation of U.S. or international export, sanctions, or trade control laws—including in embargoed countries or with restricted parties.
